On 8 January 2008 the claimant (“Golden Ocean”) offered to charter to the defendant (“SMI”) or an account to be guaranteed
by SMI, a newbuilding with an option to purchase at the end of the charter period. SMI made a counter offer stating “a/c Trustworth
Pte Limited Singapore fully guaranteed by [SMI]”. That offer was expressed to be subject to various matters including owners’
board approval. Trustworth was a Singapore company, and the chartering arm of SMI. SMI was an Indian company.
